Principal Randall Klein to speak at Chicago Bar Association program
The Chicago Bar Association (CBA) will be hosting a seminar entitled, "When does the Music Stop? Ethical Issues Facing Attorneys in Section 363 Sale and Fraud Situations." University of Chicago Professor Douglas Baird will moderate a panel that will consider the ethical issues facing attorneys in section 363 sales and insider fraud cases. Two scenarios will be discussed among the panel. The first concerns a proposed § 363 sale in a chapter 11 case where, among other things, a bidder is also the debtor-in-possession lender and has promised releases and future employment to the company’s controlling shareholder; the company is saddled with undisclosed (to the potential purchaser) environmental problems; and its minority investor, supported by the employees and trade creditors, opposes a sale and wants to file a plan of reorganization.
