Acquisitions and Dispositions. We represent buyers, sellers and lenders in the purchase and sale of real property of all types, including office, industrial, retail and residential.
Development. We have represented owners, users, tenants and lenders in developing real estate projects of all kinds, including shopping centers, office buildings, industrial facilities, and multi-family and public buildings and developments.
Mortgage Financing. We work with lenders and borrowers in connection with commercial mortgage financing, including structuring, negotiating, drafting and closing loans on all types of property.
Specialized Financing. We work with lenders in connection with mortgage and mezzanine lending in specialized industries such as hotels, senior living facilities and franchised restaurants.
Construction. We represent lenders, developers, owners, contractors and tenants in connection with construction financing. We represent contractors, developers and others in negotiating construction contracts, architect agreements, and other professional services contracts. We have represented developers and public authorities in connection with substantial public works projects.
Commercial Leasing. We represent tenants and landlords in negotiating office, retail, industrial and specialized leases and subleases. We have represented lenders, owners and lessees in ground lease transactions. We also negotiate property management and brokerage agreements on behalf of owners and managerial companies.
Sale-leaseback. We regularly represent either buyers or sellers in these transactions. We have represented clients in bond lease financings aggregating over one billion dollars.
Condominium Associations. We have represented a number of large condominium associations in connection with transition from developer management, with property and building operation issues, and with association management, as well as in litigation with unit owners, developers and adjacent property owners.
Real Estate Investment Trusts. We have assisted REITs in buying properties and in joint venture acquisitions. We represented a major lender in negotiating one of the first revolving collateral facilities for a REIT. We have represented clients in selling properties to and in obtaining financing from REITs. We helped structure a REIT financing in excess of $75 million involving numerous properties and have also structured REIT transactions for the acquisition of health care facilities.
Workouts and Bankruptcies. We have represented numerous institutional creditors in dealing with distressed investments - in negotiated restructures, and in bankruptcies and foreclosures.
Synthetic Leasing. We have represented institutional lenders in structuring synthetic leases. We have represented senior and mezzanine debt, as well as equity investors in these transactions.
Industrial Revenue Bonds. We have represented borrowers in obtaining and structuring industrial revenue bonds. We have also acted as bond counsel.
Ownership Structure. We have created a wide variety of real estate structures for our clients, including negotiating partnership, limited liability company, and other organizational and development agreements.
Senior Living. We have represented clients in acquisition, disposition, financing (including mezzanine financing), leasing, sale and leaseback, and synthetic leasing of long-term care facilities, including nursing homes, assisted living facilities, congregate care facilities, Alzheimer treatment facilities and other senior care facilities. Many of these transactions required addressing health care and other regulatory matters.
Environmental. We consult with our clients regarding compliance with the various state and federal statutes and governmental regulations on such issues as hazardous waste management, water and air pollution, PCBs and other volatile organic compounds, soil and groundwater contamination, and off-site liability for Superfund and other targeted sites.
Litigation. We represent clients in all sorts of litigation matters arising out of real estate transactions, including construction, environmental, partnership, lease, broker's liens, casualty losses, taxation and bankruptcy issues.
