Representative Matters

  • Represented an individual and a public company before the SEC.
  • Prosecuted a securities fraud matter involving claims of failure to disclose material facts in connection with the sale of a business in the sports industry.
  • Represented Mesirow Financial in a multi-faceted securities litigation in the Ninth Circuit arising out of a $32 million municipal bond offering.
  • Defended a publicly traded company against claims of securities fraud and antitrust violations allegedly committed in connection with the client's purchase of a closely held corporation, in which the plaintiffs sought in excess of $56 million. The court dismissed the securities and antitrust claims with prejudice, and there is no current litigation pending between the parties.
  • Defended three individuals who sold the stock of a closely held corporation to a publicly traded corporation and were later sued for securities fraud and related claims. The case settled at an early stage, before substantial litigation expenses were incurred, for approximately 10 percent of the plaintiff's claimed damages.
  • Represented a public company seeking to recover short swing profits from a former director and officer under Section 16(b) of the Securities Exchange Act of 1934; summary judgment was entered in favor of the company and against the director/officer.
  • Represented a bond trustee in an SEC receivership action.
