Overview

Gary Ruben is a Principal in the firm’s Real Estate Group. He represents clients in all aspects of real estate, including financing, construction financing, acquisitions, sales, leasing, joint ventures, workouts, foreclosures and bankruptcies. He has extensive experience working with lenders making loans in the senior care and health care industries, and has provided counseling on real estate acquisition and construction financing matters related to skilled nursing facilities, assisted living facilities, independent care facilities, medical office buildings, birthing centers and hospital campus buildings.

Gary also represents clients in complex sale-leaseback transactions, including the financing issues arising in such matters both as to senior and mezzanine debt. He works with clients in the purchase and sale of loans and in loan participations. He is experienced in negotiating forbearance agreements and workouts, DIP financings and foreclosures.

Experience

  • Represented a healthcare lender in the first mortgage acquisition financing of a portfolio of 10 skilled nursing facilities, including negotiation of intercreditor agreements with the mezzanine lender and accounts receivable lender.
  • Represented a healthcare lender in making senior mortgage loans and working capital revolving loans to privately owned entities that lease their skilled nursing facilities to public entities, including negotiation of security and related agreements with the public entities.
  • Represented a bank making a construction loan to develop a senior housing facility on a ground leased parcel.
  • Represented the buyer of a portfolio of casinos in Canada.
  • Represented the buyer of Amazon warehouses under construction. Representation included negotiation of terms with the developer, as well as terms of the senior and subordinated mortgage financing.
  • Represented the buyer of the Verizon Corporate headquarters in New Jersey, including negotiating the terms of the senior and subordinated mortgage financing.
