Goldberg Kohn represents American Roller in Recapitalization
Deni Caplan, a principal in the firm's Corporate, Securities and Tax group, and Ross Friedman, an associate in the firm's Corporate, Securities and Tax group, represented American Roller Company, LLC in connection with a recapitalization of its business with Hamilton Robinson Capital Partners (HRCP) and a spinoff of one of its divisions. American Roller is a leading provider of engineered services and industrial rollers including rubber and urethane coverings, plasma coatings, and core fabrication.
The recap transaction represented a liquidity event for investors 17 years after Goldberg Kohn represented CM Acquisitions, L.LC., as equity sponsor, in the initial acquisition. Over the years since the initial acquisition, Goldberg Kohn represented CM and American Roller in a number of add-on acquisitions which build on the platform investment.
“This substantial investment will allow American Roller to build upon its strong foundation by providing it with additional resources to increase its responsiveness to customers and accelerate its growth plans. It also provides the additional capital to pursue add-on acquisitions that will leverage our broad infrastructure and help us expand into new markets," American Roller CEO, Dan Cahalane stated.
