Sean Gholz and Darby Branch have joined Goldberg Kohn as Associates in the Commercial Finance Group. They represent banks, finance companies and other financial institutions in structuring, documenting and negotiating a broad range of complex commercial finance transactions.

Prior to joining the firm, Sean was an Intelligence Officer with the Central Intelligence Agency. He began his legal career as an associate in the Corporate Department at Cravath, Swain & Moore LLP, where he represented leading global financial institutions and Fortune 500 companies in joint ventures, portfolio divestitures, licenses, distributions, mergers, acquisitions, spin-offs, restructurings and financings. Before entering the legal profession, Sean served as a Sergeant in the U.S. Army, completing deployments in Iraq and Afghanistan. Sean earned his J.D. cum laude from the University of Chicago Law School in 2014.

Before joining Goldberg Kohn, Darby was an Associate in the Debt Finance practice group at Kirkland & Ellis, where she represented clients in complex domestic and cross-border transactions, including acquisition financings, secured and unsecured financings, debtor-in-possession financings and debt restructurings. She also advised on general finance matters. While in law school, Darby served as a Judicial Intern with the Hon. David Hittner of the U.S. District Court of the Southern District of Texas. She earned her J.D. summa cum laude from the University of Houston in 2022.
