Goldberg Kohn's highly respected Commercial Finance Practice is comprised of 40 attorneys dedicated to representing banks and other commercial lenders in loan transactions up to $650 million or more and involving borrowers across a broad spectrum of industries and sectors. Representing lenders in billions of dollars through hundreds of loan transactions annually, the firm has gained the trust of the largest and most active institutional lenders, and is lender counsel of choice of many equity sponsors. Our Commercial Finance practice regularly competes toe-to-toe with the largest, most prestigious law firms in the United States and beyond.

Our attorneys represent banks, commercial finance companies, direct lenders, private credit investors and other institutional lenders in structuring, negotiating, documenting and closing a wide range of lending transactions, including asset-based and cash-flow loans, unitranche structures, leveraged buyouts and mezzanine financings. We are engaged in acquisition financings, recapitalization financings, refinancings, and other complex financial arrangements requiring institutional debt, and "trouble spot" deal structures and documentation, often representing the lead agent in syndicated and club facilities. Additionally, our lawyers have extensive experience in bilateral and syndicated credit facilities, often representing agent banks, and are equally adept at handling split-lien and multi-lien structures.

Goldberg Kohn is a pioneer in cross-border lending. Our firm foresaw the globalization of middle-market lending in the mid-1980s, with the result that we have one of the strongest cross-border lending practices in the United States. Throughout the past 40 years, our attorneys have represented many clients in complex international lending transactions in Europe, Asia, South America and Central America. With a strong commitment to furthering the practice of international lending, our attorneys have also contributed to numerous significant projects with international organizations such as The United Nations Commission on International Trade Law and the International Institute for the Unification of Private Law, lectures and publications designed to help countries modernize their secured transactions laws.

Goldberg Kohn's Commercial Finance attorneys also have extensive experience in bankruptcy related financing, including debtor-in-possession financings and exit loan facilities. Our attorneys frequently handle workout matters and guide both out-of-court and bankruptcy-governed restructurings.
