Michael Hainen (Banking & Finance Law). Mike represents banks and other financial institutions primarily engaged in middle-market lending activities in the documentation, negotiation and closing of a wide range of loan transactions. He regularly handles single and multi-bank asset-based and cash-flow loans, leveraged buyouts, mezzanine financings, and cross-border finance transactions. Randall Klein (Bankruptcy & Creditor's Rights/Insolvency & Reorganization Law and Litigation - Bankruptcy). Randy concentrates his practice on the protection and enforcement of creditors’ rights. He is nationally recognized as a leader in his field, and for his experience in the drafting and enforcement of intercreditor agreements and unitranche agreements.
Jon Klinghoffer (Employment Law – Management; Labor Law – Management; and Trade Secrets Law). Jon defends employers across the country in actions involving Title VII of the Civil Rights Act, the Age Discrimination in Employment Act, the ADA, FMLA and FLSA, and various state law discrimination and wage and hour claims, the WARN Act, ERISA class action claims, COBRA claims, unfair labor practice charges and other matters before the NLRB. Richard Kohn (Banking & Finance Law). Richard represents banks and other financial institutions in structuring and documenting credit facilities, with a focus on cross-border lending transactions - an area in which he is widely recognized as a pioneer. For more than 20 years, he has been active in the reform of secured transactions law, including serving as a member of the Expert Group for the United Nations Commission on International Trade Law in preparation of its "Legislative Guide on Secured Transactions" (2007). He is currently working on a best practices guide on enforcement for the International Institute for the Unification of Private Law (UNIDROIT).
Adam Laser (Real Estate Law). Adam is Chair of the firm's Real Estate Group. He has extensive experience in real estate finance, with a particular focus on the structuring, origination, negotiation, and workout of commercial mortgage loans. His experience includes permanent, bridge and construction mortgage lending, mortgage origination for commercial mortgage-backed securitization programs, mezzanine financing, syndications, ground lease financing, workouts and restructurings.
William Loesch (Corporate Law). Will is Co-Chair of the firm's Corporate Group. He advises businesses ranging from start-ups to public companies in a variety of matters, including mergers and acquisitions, joint ventures and other strategic alliances, debt and equity financing, dealership and distributorship relationships, and employment and consulting agreements. He also has extensive experience in education law, particularly in mergers and acquisitions of post-secondary schools, both domestic and international, and education technology businesses.
William Meyers (Commercial Litigation). Bill handles a variety of complex commercial litigation matters in courts nationwide. He has extensive experience in bankruptcy and insolvency litigation, regularly protecting the rights of secured creditors in these proceedings. He litigates cash collateral/adequate protection disputes, plan confirmation issues, claims objections, valuation disputes, relief from stay motions and receivership actions. Bill has also litigated a number of intellectual property disputes.
David E. Morrison (Bankruptcy Litigation). David is an experienced litigator, trial and appellate lawyer who has represented public and private companies in various employment, commercial and bankruptcy-related cases in approximately 30 states and in every region of the country. He has handled dozens of bankruptcy issues, and has represented banks and other commercial lenders, pharmaceutical companies, trading firms, real estate operators and lessors, retail stores, restaurants, manufacturers, distributors and various service sectors.
Anne Marie Pisano (Banking & Finance Law). Anne Marie has more than 20 years of experience representing banks and other commercial lenders in documenting, negotiating and closing asset-based and cash flow loans, including bilateral and syndicated credit facilities, workouts and restructurings, and working capital and acquisition financings. She also represents minority lenders in broadly syndicated, large market multibillion-dollar credit facilities.
James Rosenbloom (Real Estate Law). Jim has a broad-based practice representing clients in real estate, commercial finance and bankruptcy matters. He represents institutions and investors in financing transactions for real estate acquisitions, refinancings, restructurings and working capital. He also represents them in purchasing and selling real estate assets, including whole loans or loan tranches.
Gary Ruben (Real Estate Law).
