Overview

Ross Friedman is a Principal in the firm's Corporate Group. He advises private equity, family offices, privately held companies, startups and lenders on a variety of complex transactional matters, including domestic and cross-border mergers, acquisitions, investments, joint ventures, debt and equity restructurings, and other transactions.

Ross also provides general corporate advice to clients, which includes structuring and reviewing commercial agreements, including master services agreements, consulting agreements, employment agreements, customer agreements, vendor agreements and nondisclosure agreements. He represents clients in a variety of industries, including food, service, manufacturing and financial.

Ross has been recognized in the 2023, 2024 and 2025 editions of "The Best Lawyers in America: Ones to Watch" in the areas of Corporate Law and Business Organizations.

Experience

  • Represented a food service business in obtaining a $12 million investment from a private equity fund.
  • Represented a private equity investor in its investment in an alcoholic beverage distributor.
  • Represented a lender to a brewery in the acquisition of another brewing company.
  • Represented a private equity sponsor in the acquisition of multiple early childhood education centers.
  • Represented an international systems integrator in the auction and sale of one of its U.S. divisions for approximately $140 million.
  • Represented a portfolio company in connection with a multimillion-dollar master services agreement with one of its largest customers.
  • Represented a private equity sponsor in its acquisition of a personalization business for approximately $14.5 million.
  • Represented a privately held company in an auction and sale of its retail display and design business for approximately $190 million.
  • Represented a private equity investor in its investment of a roadside assistance services business.
